Acceptance of Terms

By accessing our website, creating an account, or using any feature of MemePilot, you enter into a binding agreement with UtkarshLabs (“we”, “our”, or “us”). If you do not agree to these Terms of Service, you must discontinue your use of MemePilot immediately.

If you are using MemePilot on behalf of a business, agency, or other legal entity, you represent and warrant that you have full authority to bind that organization to these terms.

Description of Service

MemePilot is an autonomous content engine built by UtkarshLabs. It provides software workflows to assist creators and marketing teams with content research, trend intelligence, idea generation, script drafting, video composition, quality inspection, and direct-to-platform publishing (including YouTube integration).

MemePilot is provided as a productivity and media generation workbench. We do not guarantee viral success, views, search rankings, or advertising monetization outcomes.

User Responsibilities & Account Security

You agree to:

• Provide accurate and complete registration details and maintain the security of your login credentials.
• Promptly notify us if you discover or suspect unauthorized access to your account.
• Accept full responsibility for all activities, content creations, and publishing actions that occur under your account.

Acceptable Use & Prohibited Conduct

You agree not to use MemePilot for any unlawful, harmful, or prohibited purpose, including but not limited to:

• Generating or publishing content that is defamatory, hateful, abusive, harassing, sexually explicit, or incites violence.
• Infringing, misappropriating, or violating any copyright, trademark, privacy, or intellectual property rights of any third party.
• Distributing malware, phishing materials, spam, deceptive bulk marketing, or misleading algorithmic schemes.
• Interfering with, disrupting, or reverse engineering any part of MemePilot’s systems or infrastructure.
• Circumventing rate limits, quotas, or platform API policies enforced by Google, YouTube, or other integrated services.

Content Ownership & Intellectual Property

Your Content: You retain full ownership and copyright of all source materials, assets, video scripts, and custom media you submit to or generate through MemePilot. UtkarshLabs does not claim ownership of your creative work.

License to Operate: You grant UtkarshLabs a worldwide, limited, non-exclusive license to host, process, format, and transmit your content solely to the extent necessary to deliver the MemePilot services you request (such as rendering videos and pushing uploads to your authorized channels).

Platform IP: The MemePilot platform, user interface, brand assets, proprietary rendering architectures, and UtkarshLabs trademarks are the exclusive property of UtkarshLabs and its licensors.

AI-Generated Content & Verification

MemePilot utilizes algorithmic tools and artificial intelligence models to assist with research, script synthesis, and asset composition. You understand and acknowledge that:

• AI-generated materials can occasionally include factual inaccuracies, hallucinations, or unintentional similarities to existing works.
• Human Review Required: You are responsible for inspecting, fact-checking, and approving all scripts, media elements, and metadata prior to scheduling or publishing them.
• UtkarshLabs disclaims liability for any inaccuracies or reputational issues arising from unreviewed AI outputs.

YouTube Publishing & Platform Compliance

When utilizing MemePilot’s YouTube publishing features:

UtkarshLabs is not responsible for any strikes, channel suspensions, demonetization actions, or penalties applied to your YouTube channel as a result of content you choose to create or upload via MemePilot.

Third-Party Services & APIs

MemePilot depends on third-party APIs (including the Google YouTube Data API). You acknowledge that your use of integrated features is subject to the terms and privacy practices of those third-party providers. We are not liable for third-party API outages, rate limits, policy updates, or service discontinuations beyond our reasonable control.

Disclaimers & Limitation of Liability

MEMEPILOT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UTKARSHLABS AND ITS FOUNDERS, OPERATORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR CHANNEL ACCESS, ARISING FROM OR IN CONNECTION WITH YOUR USE OF MEMEPILOT.

Termination & Suspension

You may stop using MemePilot and terminate your account at any time. We reserve the right to suspend or terminate your access to MemePilot immediately and without prior notice if you violate these Terms of Service, engage in fraudulent or abusive activities, or if required to do so by applicable law or third-party platform policy.

Modifications to the Service and Terms

We may modify, enhance, or temporarily discontinue features of MemePilot as our technology evolves. We also reserve the right to revise these Terms of Service at any time. If revisions are material, we will indicate the update via our website or email notification. Continued use after changes become effective constitutes acceptance of the revised terms.
